Corporations Sole Law and Our Articles of Incorporation

In order to eliminate human suffering on planet earth, we need to get the government to stop obstructing the righteous actions of the most capable, loving, trustworthy people.

The greatest category of obstacles to eliminating human suffering are the obstacles presented by governments.

In the United States today, the legal system is a shambles. It is broken. From its divine beginnings at the hands of our Founding Fathers, it has, over the past two and a quarter centuries, largely fallen into the hands of "evil financial powers".

Fortunately, there do remain some rays of Light in the American legal system. And without a doubt, the brightest of these rays is the enormous set of legal protections that federal and state laws provide for churches. Thank God.

While politicians, judges and government bureaucrats generally have no qualms about violating the U.S. Constitution (and committing a multitude of other crimes with impunity), these same individuals have also demonstrated a longstanding fear of violating the first two clauses of the First Amendment. They are called the Establishment Clause and the Free Exercise Clause.

WHAT THE LAW SAYS:

U.S. Constitution:

Congress shall make no law respecting an establishment of religion, or prohibiting the free exercise thereof...

U.S.C. Constitution of the United States of America, First Amendment, emphasis added

In order to elmininate human suffering on planet Earth, we, the Angels of The Legacy of the Angels, must stand in these legal rays of Light to protect ourselves from obstruction by the government.

Incorporation in Nevada

The Legacy of the Angels is a "mother church" and its Angelic Realms are "child churches" of the mother church. Holy Realm of Surrendered Service is an Angelic Realm.

While the mother church is and shall remain unincorporated, the Angelic Realms are each incorporated as Nevada corporations sole under Nevada law.

WHAT THE LAW SAYS:

Nevada Statute:

Chapter 84 Corporations Sole

84.010. Formation. Corporations may be formed for acquiring, holding or disposing of church or religious society property, for the benefit of religion, for works of charity, and for public worship, in the manner provided in this chapter.

84.020. Articles of incorporation: Authority to make, subscribe and file. An archbishop, bishop, president, trustee in trust, president of stake, president of congregation, overseer, presiding elder, district superintendent, other presiding officer or clergyman of a church or religious society or denomination, who has been chosen, elected or appointed in conformity with the constitution, canons, rites, regulations or discipline of the church or religious society or denomination, and in whom is vested the legal title to property held for the purposes, use or benefit of the church or religious society or denomination, may make and sign written articles of incorporation, in duplicate, and file one copy of the articles, together with a certificate of acceptance of appointment signed by the resident agent of the corporation, in the Office of the Secretary of State and retain possession of the other.

84.030 Articles of incorporation: Required provisions. The articles of incorporation must specify:

1. The name of the corporation, which must be the name of the person making and subscribing the articles and the title of his office in the church or religious society, naming it if desired, and followed by the words "and his successors, a corporation sole," or the title of his office in the church or religious society, naming it if desired, and followed by the words "and his successors, a corporation sole."

Nevada Revised Statutes Chapter 84

Due to a combination of religious traditions and legal naming requirements, corporations sole have much longer names than ordinary corporations. The legal name of Holy Realm of Surrendered Service is:

The Office of the Servant of The Holy Realm of Surrendered Service to Global Civilization, an Angelic Realm of The Legacy of the Angels, and His Successors, a Corporation Sole

Use of the male pronoun is prescribed by Nevada law, shown above. No gender discrimination is intended.

To remove the difficulty of the long name, "Holy Realm of Surrendered Service" is an abbreviated name, for which a fictitious name certificate has been filed in Clark County, Nevada, under the provisions of NRS Chapter 602.

Holy Realm of Surrendered Service is domiciled in Nevada. All church activities in connection with DCGYIF and AngelBase are conducted from Nevada.

The original Articles of Incorporation of Holy Realm of Surrendered Service were filed on March 20, 2003. The articles were amended and restated, and recorded by the Nevada Secretary of State on Valentine's Day, February 14, 2005 ("restated" means they are brought up to date to reflect all amendments.)

Note: to keep the pdf file as compact as possible, most of the document is in text format (rather than scanned images). Due to font inconsistencies between our Linux-based pdf generation tool and Windows-based MS Word, pagination and fonts differ from the document as filed. However, the text is identical.

Additional Angelic Realms have also been incorporated as Nevada corporations sole, and they are "sister churches" of Holy Realm of Surrendered Service. However, all activities pertinent to this web site are currently being conducted by Holy Realm of Surrendered Service. The sister Angelic Realms will get involved at a later time.

Vedic astrology and the birth charts of the Angelic Realms

By means of a sophisticated legal mechanism in their articles of incorporation, the Angelic Realms were each "born" into their full-fledged existence as corporations sole on May 2, 2003 at 10:54 am, PST (several weeks after the articles were filed). The designated place was Crystal Bay Nevada, on the north shore of Lake Tahoe, just a short distance from where the great enlightened master Sri Sri Ravi Shankar has spent considerable time in "Guru Purnima" celebrations with spiritual devotees.

On that date, what might be the most powerful planetary configuration in a thousand years existed, as defined by the ancient system of Vedic astrology (sometimes called "jyotish"). Each planet has one particular sign where it is "exalted" which means it is far more beneficial, positive and powerfully good than it is when it appears in any other sign.

The following seven exalted planets appear in the "birth chart" of each Angelic Realm in their exaltation signs:

  1. Sun in Aries
  2. Moon in Taurus
  3. Venus in Pisces
  4. Mars in Capricorn
  5. Jupiter in Cancer
  6. Rahu in Taurus
  7. Ketu in Scorpio.

Rahu and Ketu are the Moon's orbital nodes-the points where the Moon's orbit intersects the ecliptic. They are counted as "planets" for astrological purposes, but astronomically they are merely points in the sky.

Thus, the "birth chart" of each corporation sole contains seven exalted planets and this bodes exceeding well for success on all levels in accomplishing the goal of The Legacy of the Angels to eliminate human suffering on planet Earth.

Precedent for mother/child church relationship

The model of an unincorporated mother church operating multiple corporations sole under its auspices has strong precedent. One example is the Mormon Church, which is unincorporated and which operates multiple corporations sole for different purposes.

WHAT THE LAW SAYS:

U.S. Supreme Court:

The Deseret...in Salt Lake City, Utah, is a nonprofit facility, open to the public, run by the Corporation of the Presiding Bishop of The Church of Jesus Christ of Latter-day Saints (CPB), and the Corporation of the President of The Church of Jesus Christ of Latter-day Saints (COP). The CPB and the COP are religious entities associated with The Church of Jesus Christ of Latter-day Saints (Church), an unincorporated religious association sometimes called the Mormon or LDS Church. 3 ...

[Footnote 3] The CPB and the COP are "corporations sole" organized under Utah law to perform various activities on behalf of the Church. Both corporations are tax-exempt, nonprofit religious entities under 501(c)(3) of the Internal Revenue Code.

Corporation of Presiding Bishop v. Amos, 483 U.S. 327 (1987), emphasis added

While the above case is presented here merely as an illustration of the legitimacy of the organizational model adopted by The Legacy of the Angels, it also serves (due to the Court ruling in favor of the Mormons) to illustrate the enormous legal advantages inherent in being a "church".

For those who regard astrology as nonsense, the Chief Angel understands. He thought the same thing until his mid-thirties, when he had a rude awakening that shook his world. The physicist in him still has absolutely no idea of the mechanism by which astrology works. But empirical evidence clearly demonstrates that it does work. Vedic astrology differs from Western astrology (which is more commonly practiced in America), and experts experienced in both systems tend to concur that the Vedic system is more accurate. J.P. Morgan had an astrologer and is purported to have remarked, "Millionaires don't use astrology. Billionaires do."

This 1987 case concerned the right of a church, claimed by the Mormons, to require its employees to be members of the church, notwithstanding laws prohibiting religious discrimination in the workplace. The Supreme Court ruled in favor of the Mormons.
